If you have outside investors and a board, yes. Most VCs require D&O after Series A. Without it, qualified board candidates may refuse to serve, and your existing directors carry personal liability for their decisions.
What does D&O cover?
Personal liability of directors and officers for decisions made on behalf of the company: shareholder suits, regulatory investigations, breach-of-fiduciary-duty claims, securities claims (Side C). Covers defense costs and settlements.
What is Side A?
Direct coverage for individual directors when the company cannot indemnify (bankruptcy, derivative claims where company itself is sued). Required by serious board candidates.
When do I need D&O?
