How it works

How we deliver, end-to-end.

Four-step path from request to confirmation. State and IRS turnaround varies; our steps run in parallel where possible to compress the timeline.

1

Intake + scope

You tell us what you need through a short intake form (or a call for complex matters). We confirm scope, surface any gating issues (deadlines, missing documents, entity status), and quote any state fees that pass through at cost.

2

Prepare + verify

Our specialists draft the filing, verify entity details against state databases, run internal QA, and route any items needing your sign-off. You see drafts before anything gets submitted.

3

File with the authority

We submit directly to the state Secretary of State, FinCEN, IRS, USPTO, or whichever authority your filing requires. We pay state fees at cost and track the submission identifier in your account.

4

Confirmation + vault

Stamped certificate, IRS notice, or filing receipt arrives in your SOC 2 encrypted document vault the moment we receive it. Next filing deadline auto-added to your compliance calendar where applicable.

FAQ

Frequently asked questions.

Do personal trainers and gyms need to be licensed?
Personal trainers: most states do NOT require state licensing for personal training (though certifications from NASM, ACE, ACSM are industry standard). A few states (LA, MS, OK) have or are considering trainer licensing. Gyms: typically need a local business license + facility inspection but no trainer-specific state license. Health Club Membership Acts in many states regulate prepaid contracts.
Should a fitness business be an LLC or sole proprietorship?
LLC is essential for fitness businesses. Personal training involves physical activity, equipment, and risk of injury - liability exposure is high. The LLC shield (plus proper waivers + insurance) protects personal assets. Solo trainers operating as sole proprietorships expose home, savings, and personal assets directly to client injury claims.
What waivers and contracts do fitness businesses need?
Minimum: liability waiver (assumption of risk), Per-A.A.M.A. + state-specific language (states like NY restrict pre-injury waivers), photo release for marketing use, training agreement (price, schedule, cancellation). For prepaid contracts: must comply with state Health Club Membership Acts (NY, CA, TX, FL all have these). File.Business provides fitness-specific contract templates.
How are gym memberships taxed?
Most states do NOT tax gym memberships. Some states tax health club membership specifically (NY, CT, DC). After hitting economic nexus thresholds, sales tax registration may be required even for non-taxable sales if you have other taxable inventory (water bottles, supplements, merchandise).
Are personal training certifications tax-deductible?
Yes if you're already in the fitness industry. Continuing education to maintain certifications (NASM CEUs, ACE recertification) is deductible. New specializations (corrective exercise, nutrition coaching, kettlebell certification) are deductible if expanding existing service offerings. Initial training (first certification to enter the field) is typically NOT deductible - capital expense.
