About IRS Final Returns.

What is a final tax return?
A final tax return is the last income or payroll return you file before closing a business. It's marked "FINAL" on the form so the IRS knows to close your tax account for that EIN. Without filing final returns, the IRS continues to expect future returns and can flag missing-filer penalties.
Do I need to file final returns if I dissolved my state entity?
Yes. State dissolution closes you with the Secretary of State. Final IRS returns close you with the federal government. They are separate processes. Many founders complete state dissolution but skip IRS final returns and trigger years of IRS notices.
Can I file final returns myself?
Yes, but the gotchas are significant. Most founders miss: which year is the final year (calendar vs. fiscal), how to allocate income across partial-year, which information returns are still required, and how to handle outstanding payroll deposits.
