About the Conservation Easement Service.

What is the difference between PLLC and LLC?
PLLC restricts members to licensed professionals in the same profession (with some multi-profession exceptions). Regular LLC has no such restriction. Most states REQUIRE licensed professionals to use PLLC for their practice. Failure to use PLLC where required loses the liability shield.
Does PLLC protect me from my own malpractice?
No. PLLC protects you from co-members' malpractice (and from non-malpractice business debts), but never from your own. Personal malpractice insurance is still required.
Which states allow PLLC?
38 states allow PLLC. The 12 states that do not use other structures: California (Professional Corporation only), Connecticut, Maryland, Minnesota, Nevada, Oregon, Rhode Island, South Dakota, etc. We confirm based on your state plus profession.
Do I need licensing-board approval?
In most PLLC states, yes - the state licensing board (e.g., State Bar, Medical Board, Board of Accountancy) must approve the entity name plus the member list before the Secretary of State will accept the filing. We handle the letter.
Can I convert an existing LLC to PLLC?
Yes - in most states. The process is similar to a conversion: amend articles of organization, get board approval, register the converted entity. We handle conversions for $349 plus state fee.
What if my partner becomes unlicensed (license revoked)?
They must be removed from the PLLC. Most state statutes require disposal of their interest within 6 months. Operating agreement should include forced-buyout clauses for license revocation.
